Any reference to “CareEywa”, “our”, “us” and “Company” are references to Temporalview Technologies Pvt. Ltd. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011, that require publishing the rules and regulations, Privacy Policy and Terms of Use (“Terms”) for access or usage of www.CareEywa.com.

For the purpose of these Terms, wherever the context so requires “You”, “Your” or “User” shall mean any natural or legal person who has agreed to become a service recipient on the CareEywa Web Platforms by providing relevant data or uses by way of browsing the website.

The Agreement is published in compliance of and is governed by the provisions of Indian law, including but not limited to:

2. The (Indian) Information Technology Act, 2000, and
3.    You will be subject to the rules, guidelines, policies, terms and conditions applicable to such service and they shall be deemed to be incorporated into these Terms and shall be considered as part and parcel of these Terms. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms, at any time without any prior written notice to You. It is Your responsibility to review these Terms periodically for updates or changes. Your continued use of the CareEywa Web/App Platforms, following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter, use and/or download the CareEywa Web Platforms/apps.For these Terms, wherever the context so requires, “Booking Date” or “Transaction Date” shall mean the date on which the order has been placed by the User for availing the services of the Practitioner via the CareEywa Web Platforms. Further, “Date of Service” shall mean the date on which the services will be provided by the Practitioner.Please note that accessing, browsing, downloading or otherwise using the CareEywa Web Platforms indicates Your agreement to all the Terms. Therefore, please read the Terms carefully before proceeding. By impliedly or expressly accepting these Terms, You also accept and agree to be bound by CareEywa’s Policies (including but not limited to our Privacy Policy) as amended from time to time.For these Terms, words referring to masculine include the feminine and the singular include the plural and vice versa as the context admits or requires; and words importing persons include individuals, bodies corporate and unincorporated.

   You will be asked to accept these terms as part of your account registration or in general when you are visiting this website. We may update the terms from time to time and if your rights change we will always notify you of this. By downloading or accessing the Website to use the Services, you irrevocably accept all the conditions stipulated in this Agreement and agree to abide by them. Persons who are “incompetent to contract” within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the CareEywa Web Platforms.

CareEywa reserves the right to deactivate and/or refuse to provide You with access to the Platforms if it is brought to Our notice or if it is discovered that You are under the age of 18 years.

Users: The Website is accessible to visitors / non-registered users, registered users and practitioners. “Registered Users” are users who have registered themselves an account on the Website by providing CareEywa with certain information and who can log on to the Website by providing their login credentials. “Non-Registered Users” are users who are not registered with the Website but may access information on the Website. Certain features of the Website are available to Registered Users only.
   • Website Features:
     • Easy access to medical content in the form of Informative/Educational Blogs/ Articles written by experts, moms & healthcare professionals, etc.
     • Digital Health Calculator Tools to track one’s daily/weekly/monthly health parameters may include but not be limited to an ovulation calculator, kick counter, Weight gain Tracker, child developmental assessment & vaccine reminder.
     • Personal Health Records (PHR) are where registered users especially females can maintain and manage their health & pregnancy & childcare-related information in a private, secure and confidential environment. It also allows you to track, save, and store the data in the cloud which in the case be allowed to share with family, friends or practitioners online using an encrypted link.
     • Ask from the expert, Talk to a practitioner & Talk to our Health counsellor segment lets the registered user ask various queries with regards to health/ our services from a wide selection of experts present in our panel or from customer care via online modes. If a User has utilized the telephonic services, CareEywa reserves the right to share the information provided by the User with the Practitioner and store such information and/or conversation of the User with the Practitioner, by our Privacy Policy
     • Users can search for qualified and experienced Practitioners by name, speciality and geographical area or any other criteria that may be developed and made available by CareEywa to get their issue consulted or resolved.
     • CareEywa’s price comparison engine enables you in finding the best & comparative prices for women, mothers and childcare products such as baby safety, baby care products, strollers, and maternity products, etc. as well as deals and offers from all major e-commerce stores such as Amazon, Flipkart, Firstcry, etc. We bring you the best comparative from different e-commerce websites, with an effort to ease your search and save you time, however, the pricing & description of a product may vary, while You are being redirected to third-party links of these stores. It is pertinent to mention here that, these third-party websites are not affiliated with us. You hereby consent to receive such messages from CareEywa.
     • By using the website by any means and leaving your details and/or registering yourself with the website, you authorize us to contact you via email or phone call or SMS and offer you services for the service you have opted for, imparting service knowledge, offer promotional offers running on website, for which reasons, personally identifiable information may be collected as detailed below.
     • If you are not registered as a user, you still can book our healthcare services by simply calling our health advisor or leaving your contact details on the website so that our health advisor can be in touch with you. However in that case you would need to make the payment using any of the govt approved payment methods (like Paytm, Razorpay etc), given by our health advisor team.
     • USE BY Registered User
       • You acknowledge that this Website is an informative platform only and this Website is not in the business of providing core or direct healthcare services, like Hospitals or Health clinics. In doing so, CareEywa is helping you by providing You with lists and/or profile previews of Practitioners who may be suitable to deliver the health care that You are seeking based on information that You provide (such as an area of speciality and geographical location).
           • Please note that (i) does not recommend or endorse any practitioners mentioned on the Website, (ii) does not make any representations or warranties concerning practitioners or the quality of the healthcare services they may provide and (iii) does not grade practitioners.
           • Users are allowed to provide feedback about their experiences with the Practitioner, however, the User shall ensure that the same is provided by applicable law. The user, however, understands that CareEywa shall not be obliged to act in such manner as may be required to give effect to the content of the User’s feedback, such as suggestions for delisting a particular Practitioner from the Website. Further details are mentioned in clause 4.
         • Ask from an Expert/Talk to a health advisor: Registered users can get easy access to their queries, by posting their questions or queries. This shall include therapist/practitioner inputs/feedback or answers or consultation based on your query posted. Notwithstanding the foregoing, we are under no obligation to display any of the Content that you submit and we reserve the right to remove or edit your Content at any time, for any or no reason.
           Any content posted by You in the form of a question or query is subject to the discretion of CareEywa.
         • Personal Health Records: You have the option of uploading Your identifiable Personal Health Information including physical and mental health records and medical records and history on the Website which may be accessed by the practitioners at the time of private interactions using the Website with your permission. PHR uses a unique digital system that is transforming how you manage your pregnancy and childcare health records. Not only do you get the freedom to access and maintain it on the go but it also keeps your information safe, secure and private at no cost. At only one location you can save, maintain and share your prior & current medical records, and newborn health care records and keep track of your pregnancy vitals like BMI, BP, Thyroid & Sugar.        • If You rely on any of the Information provided by the Website, You do so solely at Your own risk.

CareEywa is only providing a platform for communication and it is agreed that any sale of service shall be a strictly bipartite understanding between the User and the service provider. We enable parents to connect with experts to make better and more informed decisions. The services provided by CareEywa include but are not limited to, reviewing, rating, and commenting.

1. USER REGISTRATION

1. • In consideration of Your use of the CareEywa Web Platforms, You agree to:
     • Provide accurate, current and complete information about You as may be prompted by any registration forms and subscription, including, but without limitation, Your name, telephone number, mailing address, bank account details, account and email address on the CareEywa Web Platforms (“Registration Data”);
     • Maintain and promptly update the Registration Data and any other information You provide to CareEywa, to keep it accurate, current and complete;
     • Maintain confidentiality of Your password and identification;
     • Notify CareEywa immediately of any unauthorized use of Your account or other breaches of security;
     • Any licenses, permits, consents, approvals and intellectual property or other rights as may be required for using the services shall be obtained by You at Your own cost;
     • Accept all responsibility for any activities that occur under Your account (whether through authorized or unauthorized access) including, but without limited to, information retrieved, stored and transmitted through the CareEywa Web Platforms by You;
     • Accept all risks of unauthorized access to the Registration Data and any other information You provide to CareEywa; and
     • You will ensure compliance with all notices or instructions given by CareEywa from time to time to enable the use of the CareEywa Web Platforms.
   • You agree that if You provide any information that is untrue, inaccurate, not current or incomplete or We have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete or not by these Terms, We shall have the right to indefinitely suspend or terminate or block access of Your account on the CareEywa Web Platforms and refuse to provide You with access to the CareEywa Web Platforms.
   • CareEywa allows You to sign in to the CareEywa Web Platforms with Your email address to register with Us.
   • Registration/Website Browsing on the CareEywa Web Platforms is free for Users. CareEywa reserves the right to change its fee policy from time to time. In particular, CareEywa may at its sole discretion introduce new services and modify some or all of the existing services offered on the CareEywa Web Platforms. In such an event CareEywa reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be. Changes to the fee policy shall be posted on the CareEywa Web Platforms and such changes shall automatically become effective immediately after they are posted on the CareEywa Web Platforms. Unless otherwise stated, all fees shall be quoted in Indian Rupees. You shall be solely responsible for compliance with all applicable laws including those in India for making payments to CareEywa.

1. INVITATION TO OFFER
   All the services and information in the form of educational content, health calculators, electronic health record, etc., displayed on the CareEywa Web Platforms constitute an invitation to offer. Your order availing the services constitutes Your offer, which shall be subject to the Terms as listed herein. CareEywa reserves the right to accept or reject your offer in part or in full, with or without any reason whatsoever. The acceptance and/or communication to the Practitioner of Your offer for availing of the services will take place upon the provision of the services being availed by You.
2. USER TERMS

1. • By transacting via the CareEywa Web Platforms to avail of any services, You represent to CareEywa that such registration and availing of service is for Your personal and non-commercial use only. Further while using the CareEywa Web Platform, You acknowledge that You fully assume the risk arising out of the services availed and of purchase made and You further fully assume the risks of liability or harm of any kind in connection with subsequent activity of any kind relating to the service(s) that are the subject of the transactions via the CareEywa Web Platforms.

1. • BLOGS/ARTICLES
     • A registered user can use CareEywa’s blog section to write about their experiences by logging in from their account, creating original content comprising text, images, data or any combination of the same (“Content”) and uploading said Content to CareEywa’s servers.
     • The User agrees to absolve CareEywa from and indemnify CareEywa against all claims that may arise as a result of any legal claim arising from the nature of the Content posted by the User on CareEywa’s blog section.
     • The user hereby assigns to CareEywa, in perpetuity and worldwide, all intellectual property rights in any Content created by the User and uploaded by the User.
     • Registered User acknowledges that the Content on the CareEywa blogs section reflects the views and opinions of the authors of such Content and does not necessarily reflect the views of CareEywa.
     • CareEywa reserves the right, at its sole and absolute discretion, to determine whether anything posted by You is appropriate; and to remove it, without notice or liability to You, which it determines to be inappropriate. Without limiting the generality of the foregoing, the following is a partial and non-exhaustive list of the type of activities that CareEywa deems to be inappropriate:
       • Content that criticizes a business or individual beyond that merely offering an opinion;
       • Content that harasses or advocates harassment of another person;
       • Content that exploits people sexually or violently;
       • Content that contains nudity, violence or offensive subject matter or contains a link to an adult website;
       • Content that includes racially, ethically or otherwise objectionable language;
       • Content that is libellous, defamatory or otherwise tortious language;
       • Content that solicits personal information from anyone under 18 years of age;
       • Content that promotes information known to be false or misleading or promotes illegal activities or conducts that is abusive, threatening, obscene, defamatory or libellous;
       • Content that involves the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing, instant messaging or “spamming”;
       • Copying, modifying, translating, publishing, broadcasting, transmitting, licensing, sublicensing, assigning, distributing, performing, publicly displaying or selling any CareEywa content appearing on or through the CareEywa Web Platforms.
   • SERVICES
     • CareEywa shall Provide its services through any of these 3 modes or combinations of modes (as applicable).
       • At the clinic/centre or,
       • At the user’s residence or,
       • Online is further divided into 1) Video 2) Chat and 3) It is mandatory for the User to have a 5 G-enabled Smartphone/laptop which needs to have Google meet or Zoom app installed to avail this service in case you are opting for chat or video calling as a consultation option
     • In case of Home Visits, The visitor or user is allowing CareEywa to share your address with the practitioner to reach you to provide the service and the onus shall be on the User to verify the details of the concerned practitioner by looking at his/her govt issue identity card (Aadhar/Driving Licence etc) to ensure the safety.
     • In situations where the User is facing an emergency issue, it is suggested that the User should immediately consult a hospital and in case the user is not comfortable with the practitioner’s technique or method, it is suggested that the user should convey the same to the practitioner or stop following his/her instruction and should take appropriate steps accordingly.
     • You acknowledge that CareEywa does not guarantee the availability of any particular Practitioner at any particular time. We will do what we can to arrange a consultation with a Practitioner as soon as possible but do not guarantee to offer consultations within a particular time. CareEywa does not guarantee that a patient will get a confirmed appointment. Further, CareEywa has no liability if such an appointment is confirmed but later cancelled by Practitioners, or the Practitioners are not available as per the given appointment time over text, or audio.
     • When you choose to use our Website service section, you will be provided with a list of health service providers based on the selection criteria that you provide and on provider availability. The information we make available about any particular health services provider is supplied to us by that practitioner, and CareEywa makes no warranty as to its accuracy. Users of the practitioner’s Service Section are ultimately responsible for choosing which health services provider to communicate or avail of the service with.

1. • THIRD-PARTY PRODUCT SALE:
     • You agree that the Website may be linked to the website of third parties, affiliates and business partners. CareEywa has no control over and is not liable or responsible for the content, accuracy, validity, reliability, or quality of such websites or made available by/through our Website. The inclusion of any link on the Website does not imply that CareEywa endorses the linked site. Users may use the links and these services at User’s own risk.
     • On the CareEywa website, you can compare third-party services via the CareEywa system.
     • In addition, for some products, users have the possibility of ordering the selected product through a direct connection to the other sites (third parties). As a result, the order will be generated directly on the third-party site and not on the CareEywa sites. In such cases, CareEywa is not the contractual party for the user, but only an agent providing the technical connection to the third-party site. By generating an order on the website of the third party, users agree to be bound by the terms and conditions of that site. These terms and conditions can be viewed on the website of the third party. Once an order is generated on the website of a third party, a contract is concluded between the third-party site and the user and therefore no contract is concluded between the user and CareEywa. CareEywa is no contractual party to the product ordering and all and any claims of the user under the ordered products are to be asserted against the third party and not against CareEywa.
     • This agreement is not affected by any other agreements between the third-party sites and users.
     • The Website enables your purchase of healthcare and other products (“Products”) sold by third-party product sites.
     • The Website may be linked to the website of third parties, affiliates and business partners. CareEywa has no control over and is not liable or responsible for the content, accuracy, validity, reliability, or quality of such websites or made available by/through our Website.
     • The inclusion of any link on the Website does not imply that CareEywa endorses the linked site. Users may use the links and these services at User’s own risk.
     • If you use the Website to order a Product, our responsibility is to direct you to the third-party seller. Your contract for the supply of a Product is with the third-party seller, not with us and the third-party seller is responsible for Product sourcing, quality and delivery.

1. • PERSONAL HEALTH RECORD/HEALTH CALCULATORS:
     • CareEywa will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising out of information fed into Personal Health Record, Health Calculator even though they will be free for the initial few months.
     • Your Records are only created after you have signed up and explicitly accepted these Terms.
     • Health Records are provided on an as-is basis. While we strive to maintain the highest levels of service availability, CareEywa is not liable for any interruption that may be caused to your access to the Services.
     • The reminder provided by the Records is only a supplementary way of reminding you to perform your activities
     • It is your responsibility to keep your correct mobile number and email ID updated in the Records. The Health Records will be sent to the Records associated with this mobile number and/or email ID. Every time you change any contact information (mobile or email), we will send a confirmation. CareEywa is not responsible for any loss or inconvenience caused due to your failure in updating the contact details with CareEywa.
     • CareEywa uses industry–level security and encryption for your Health Records. However, CareEywa does not guarantee to prevent unauthorized access if you lose your login credentials or they are otherwise compromised. In the event you are aware of any unauthorized use or access, you shall immediately inform CareEywa of such unauthorized use or access.
     • If you access your dependents’ Health Records by registering your dependents with your Records, you are deemed to be responsible for the Health Records of your dependents and all obligations that your dependents would have had, had they maintained their own separate individual Records. You agree that it shall be your sole responsibility to obtain the prior consent of your dependent and shall have the right to share, upload and publish any sensitive personal information of your dependent. CareEywa assumes no responsibility for any claim, dispute or liability arising in this regard and you shall indemnify CareEywa and its officers against any such claim or liability arising out of the unauthorized use of such information.
     • In case you want to delete your Records, you can do so by contacting our service support team. However, only your account and any associated Health Records will be deleted and your Health Records stored by your Practitioners will continue to be stored in their respective accounts.
     • CareEywa expressly reserves the right to investigate and take appropriate legal action against anyone who, in CareEywa’s sole discretion, violates this provision, including without limitation, reporting You to the law enforcement authorities.

Payment

1. Since payment gateway is a third-party service approved by govt of India, While availing any of the payment method/s available on the CareEywa Web Platforms or a payment link sent by our health advisor team, We will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to You due to:
   • Lack of authorization for any transaction/s, or
   • Exceeding the preset limit mutually agreed between You and the financial services providers you deal with, or
   • Any payment issues arising out of the transaction, or
   • The Decline of transactions for any other reason/s

1. All payments made against availing the services shall be compulsorily in Indian rupees (“Transaction Price”).
2. Before delivering the products purchased by You or providing the services to You, the Practitioner may request You to provide supporting documents (including but not limited to Govt. issued ID and address proof) to establish the ownership of the payment instrument used by You for Your purchase (Payment receipt). This is done in the interest of providing a safe online shopping environment to Our Users. You will be able to download the payment receipt after making the successful payment transaction over the CareEywa portal. For offline purchases usa ing payment link, you will be requested to demand the payment receipt from the Health advisor in case not reached you via mail.
3. You have specifically authorized CareEywa to collect, process, facilitate and remit the Transaction Price electronically in respect of transactions through the payment facility. The Payment may or may not be made to the service provider.
4. Since CareEywa is an online service aggregator company, the payment is being collected on behalf of the Practitioner, who is going to serve you for the purchased service(s). Hence, CareEywa has been legally authorised by practitioner(s) to raise the invoice and bill the user on their behalf.
5. In a Few cases and services, the user is allowed to pay the 50% advance payment (using the website directly or via a payment link sent by the Health advisor) to avail of the service. The user in such cases will only be allowed to avail the 50% of the service sessions, the rest 50% of sessions will be allowed to be avail once CareEywa will receive the entire payment in advance.

Service Execution in case Of Purchase

1. Upon making the payment in advance, you will get an appointment confirmation having the provider’s/Center’s detail along with the final appointment date and time which will be mutually agreed upon by you to avail of the service.
2. It is mandated to sign the USER CONSENT form by the user, provided by the CareEywa team before starting the session. If case you don’t sign the consent form, the booked service will not be executed by the practitioners.
3. In the case of Online mode, the user has to ensure that a good 4G internet connectivity, a noise-free environment and an HD quality webcam/mobile camera are there or used to get the session(s).
4. Users in case of online mode shall only use Either a GOOGLE MEET/ZOOM call to get the session(s) and a link to join the session will be sent by the practitioner in advance. However, in the case of home visit mode, the Practitioner shall ensure to reach the user’s provided address/home minimum of 15 minutes before the scheduled time of the session. In the case of the Center, the user is requested to reach at least 15 mins prior to the scheduled date and time.
5. The user is not authorized to directly fix up the date and time for the next session with practitioners, to avoid confusion, the user is supposed to coordinate with the CareEywa service follow-up team for scheduling the next sessions with practitioner.

Rescheduling of Sessions

1. User, upon receiving the appointment confirmation mail, is allowed to reschedule the session only one time in case of a single/trial session and 30% (round figure) sessions of the total number of booked sessions without any additional penalty or charges at any time (within 72 hrs of scheduled session) in case of multiple sessions or package. If the User is requesting to postpone the session in advance of 3 days (72 hrs), it will not be considered as rescheduling of the session as explained above and no additional cost will be charged.

Cancellation Policy

2. In case of cancellation of the appointment by practitioners/ by CareEywa due to any reasons, three options are available to the user:
   • He may ask for rescheduling the appointment with the same or different practitioner, or
   • He may claim a refund of the pending session payment, or
   • The advance payment may be added as credit to the account of the consumer and be adjusted in due course for future consultations within one-month time.

1. • Cancellation in case of single session/consultation 
     • Cancellations made before 24 hours of the scheduled session date; will receive a 100% refund. 
     • Cancellation made within 24 hours of the scheduled session date, no refund will be made
   • Cancellation in case of multiple sessions or package
     If you buy a package of multiple sessions with a 100% advance payment. In case of cancellation, a refund will be issued based on the below scenarios. 
     • If cancellation is made before consuming the 50% sessions of the package, the refund will be made based on no. of sessions left multiplied by the per session rate (where the per session rate will not be calculated as Total package cost divided by the total no of the session in the package, The per session rate will be the STANDARD rate which is charged by the practitioner to provide the individual session which is generally higher than a package per session charges)
     • If cancellation is made before consuming the 50% sessions of the package, the refund will be made based on no. of sessions left multiplied by the per session rate (where the per session rate will not be calculated as Total package cost divided by the total no of the session in the package, The per-session rate will be the STANDARD rate which is charged by the practitioner to provide the individual session which is generally higher than a package per-session charges)

1. Cancellation by CareEywa
   In case, User has paid for the service and due for any reason is not availing of the session(s) for more than one month, the service will stand automatically cancelled. The user is eligible to get the refund of the pending session in such cases however he/she has to raise a (written) refund request within the one-month time from the date of automatic cancellation.

Return And Refund Policy

1. Refunds with respect to services will be subjected to the sole discretion of CareEywa and will be made by the cancellation policy mentioned above.
2. Please note that all returns and related procedures shall be carried out by the third-party seller(s) whose products have been purchased by You. Therefore, CareEywa shall not be liable for any loss, damages, action, claim or liability arising out of or in connection with any act, omission or negligence of such a third-party seller concerning the return of purchased product(s).
3. In case a Practitioner is not available to provide the scheduled consult, you can report the issue to CareEywa and request for cancellation, post which CareEywa will process the refund amount equalling the total actual amount paid by You, including any internet handling fees.
4. In the event it is proved that a practitioner has acted in a manner that is against any applicable laws or in an abusive manner, CareEywa may provide a refund either wholly or in part to You, subject to an investigation undertaken by CareEywa.
5. In the event it is proved that You have demonstrated abusive nature during the consult, you shall not be eligible for any refund and CareEywa/Practitioner shall be entitled to take any legal action as applicable.
6. In the case where the user does not show up at scheduled appointment/consult, without cancelling, rescheduling or informing the Practitioner or CareEywa, the user shall not be liable for any refund.

Please note that some of the content, text, data, graphics, images, information, suggestions, guidance and other material (collectively, “Information”) that may be available on the Website (including information provided in direct response to your questions or postings) may be provided by individuals in the medical profession. The provision of such Information does not create a licensed medical professional/patient relationship, between CareEywa and you and does not constitute an opinion, medical advice or diagnosis or treatment of any particular condition, but is only provided to assist you with locating appropriate medical care from a qualified practitioner.

It is hereby expressly clarified that the Information that you obtain or receive from CareEywa and its employees, contractors, partners, sponsors, advertisers, licensors or otherwise on the Website is for informational purposes only. We make no guarantees, representations or warranties, whether expressed or implied, concerning professional qualifications, quality of work, expertise or other information provided on the Website. In no event shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such information.

The Services are not intended to be a substitute for getting in touch with emergency healthcare.

Modification & Licensed Use

  We reserve the right to modify or terminate any portion of the Agreement for any reason and at any time and such modifications shall be informed to you in writing You should read the Agreement at regular intervals. Your use of the Website following any such modification constitutes your agreement to follow and be bound by the Agreement so modified.

If You decide to engage with a practitioner to provide medical services to You, You do so at Your own risk.
• CareEywa shall not be responsible for any breach of service or service deficiency by any practitioners.
• We can neither assure that all transactions either in form of offline discussions or replies by our customer care on the Website will be completed nor do we guarantee the ability or intent of the practitioners to fulfil their obligations in any transaction. We advise You to perform Your investigation prior to selecting a practitioner.

This consent shall supersede any preferences set through the Do Not Disturb Register (DNDR) &/or National Customer Preference Register (NCPR).

Intellectual Property Rights

• CareEywa is the sole owner or lawful licensee of all the rights of the CareEywa Web Platforms and its content. For this clause, the content on the CareEywa Web Platforms includes its design, layout, text, images, graphics, sound, video, etc as well as non-superficially visual functional elements. The title, ownership and intellectual property rights in the CareEywa Web Platforms and its content shall remain with CareEywa, its affiliates or licensors of the content, as the case may be.
• Trademark: ‘CareEywa’ and related icons and logos are registered or registration has been applied for by CareEywa in various jurisdictions and the same is protected under applicable trademark and other intellectual property laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited and shall be subject to appropriate legal proceedings against the unauthorized user.

The commercial/contractual terms may include, without limitation, price, shipping costs, payment methods, payment terms, date, period and mode of delivery, and warranties related to products and services.
• CareEywa does not make any representation or warranty as to specifics (such as quality, value, salability, etc) of the products or services proposed to be sold or offered to be sold or purchased on the CareEywa Web Platforms. CareEywa does not implicitly or explicitly support or endorse the sale or purchase of any products or services on the CareEywa Web Platforms. By technical or human error, it may be possible that certain inadvertent errors may occur such as a change in the price of the products and services, change in the quantity ordered, description of the products and services and the like. Even though CareEywa makes its best efforts to avoid any such errors, CareEywa will not accept liability for any such inadvertent errors or omissions.

• CareEywa shall not and is not required to resolve or mediate any disagreements or disputes between the Users and Practitioners because of the non-performance of any transaction concluded on the CareEywa Web Platforms.
• CareEywa does not make any representation or warranty as to the item-specifics (such as legal title, creditworthiness, identity, etc) of any of its Practitioners. You are advised to independently verify the bona fides of any particular Practitioner that You choose to deal with on the CareEywa Web Platforms and use Your best judgment on that behalf.
• You realize and indemnify CareEywa and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions of the Users of the CareEywa Web Platforms and specifically waive any claims that You may have on this behalf under any applicable law. Notwithstanding its reasonable efforts on that behalf, CareEywa cannot take responsibility or control the information provided by other Users which is made available on the CareEywa Web Platforms. You may find other Users’ information to be offensive, harmful, inconsistent, inaccurate, or deceptive. Please use caution and exercise Your judgment when using the CareEywa Web Platform.

Force Majeure & Indemnification

Force Majeure

You understand and agree that CareEywa will not be held liable for any loss or damage concerning the use of the CareEywa Web Platforms if the same arises out of any cause due to which CareEywa is wholly or partly unable to perform its obligations and which is not reasonably within the control of CareEywa. Further, CareEywa will not liable for any loss or damage which is not a result of the fault or negligence of CareEywa or which occurs despite all reasonable attempts of CareEywa to avoid or mitigate the same. This includes without limitation, acts of God, war, riots, civil disturbances, cyclones, hurricanes, floods, earthquakes, storms and other natural calamities, epidemics, plagues, terrorist attacks, accidents, trade restrictions, acts of any government authority leading to a delay in adhering to the timelines of delivery, strikes, labour, employee difficulties and other events or circumstances that are beyond the reasonable control of CareEywa.

Indemnification

You agree to indemnify and hold Us and (as applicable) Our officers, directors, agents and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Your breach of these Terms or your violation of any law or your violation of the rights of a third party, including the infringement by you of any intellectual property or other rights of any person or entity. These obligations will survive the termination of these Terms.

Termination

You understand and agree that CareEywa reserves the right to terminate Your registration and/or terminate Your right to use the CareEywa Web Platforms for any reason whatsoever, including without limitation, any act or omission in contravention of the Privacy Policy or of these Terms. You further understand and agree that any such termination may be effected without prior notice to You and You acknowledge and agree that CareEywa may delete or deactivate Your account immediately upon detecting any such reason, including without limitation, the contravention of the Privacy Policy or these Terms.

Applicable Law

CareEywa Web Platforms have been designed to comply with the laws of India and hence We shall be governed by the laws of India. If any material on the CareEywa Web Platforms or Your use of the CareEywa Web Platforms is contrary to the laws of the country/state where You are when You access it, We ask You not to use the CareEywa Web Platforms in contravention of such law. You are responsible for being aware of the laws of Your jurisdiction and complying with them. Further, the courts of NCT, New Delhi shall have exclusive jurisdiction in case of any preliminary relief sought in respect of all the terms, conditions and disclaimers.

Dispute Resolution

• You agree that this Agreement and any contractual obligation between CareEywa and User will be governed by the laws of India.
• In the event of a dispute arising out of or relating to this agreement, including any question regarding its existence, validity or termination, the parties shall first seek settlement of that dispute through amicable negotiation between the parties. If the dispute is not settled by negotiation within 15 days of the first negotiation round or such further period as the parties shall agree in writing, the dispute shall be referred to and finally resolved by arbitration under the India Arbitration Rules, as given in Arbitration and Conciliation Act,1996 amended which Rules are deemed to be incorporated by reference into this clause.
• The language to be used in the mediation and the arbitration shall be English.
• The governing law of the contract shall be the substantive law of India.
• In any arbitration commenced under this clause,
  • the number of arbitrators shall be one; and
  • the seat or legal place, of the arbitration, shall be New Delhi.

Subject to the above Clause II, the courts at New Delhi shall have exclusive jurisdiction over any disputes arising out of or about this Agreement, your use of the Website or the Services or the information to which it gives access.

Severability

If any provision of the Agreement is held by a court of competent jurisdiction or arbitral tribunal to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of the Agreement shall be interpreted as if such provision were so excluded and shall be enforceable by its terms; provided however that, in such event, the Agreement shall be interpreted to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction or arbitral tribunal.

Retention And Removal Of Information

CareEywa may retain such information collected from Users from its Website or Services for as long as necessary, depending on the type of information; purpose, means and modes of usage of such information; and according to the SPI Rules. Computer web server logs may be preserved as long as administratively necessary.

Limitation Of Liability

In no event, including but not limited to negligence, shall CareEywa or any of its directors, officers, employees, agents or content or service providers (collectively, the “Protected Entities”) be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from or directly or indirectly related to, the use of or the inability to use, the Website or the content, materials and functions related thereto, the Services, User’s provision of information via the Website, lost business or lost Users, even if such Protected Entity has been advised of the possibility of such damages. In no event shall the Protected Entities be liable for:

• provision of or failure to provide all or any service by Practitioners to Users contacted or managed through the Website;
• any content posted, transmitted, exchanged or received by or on behalf of any User or other persons on or through the Website;
• any unauthorized access to or alteration of your transmissions or data; or
• any other matter relating to the Website or the Service.

In no event shall the total aggregate liability of the Protected Entities to a User for all damages, losses and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from this Agreement or a User’s use of the Website or the Services exceed, in the aggregate ₹ 100/- (Rupees One Hundred Only).
